I had to configure 1 exchange server for two different companies (Company1 & company2).
Their is no concern between these two companies.
I know that i had to create MX- record for both with the same IP-address on DNS server
i.e IP w.x.y.z mail.company1.com
IP w.x.y.z mail.company2.com
Am I right ?
Now what i had to do on exchange server to make things up and running ,so that users from both the companies can use that same server to send and recive mails and gives an impression of that they have their own mail server ?

I have the same situation and done the same actions for the DNS server.
Now is the problem the Internet Mail Connector! You can only give one domain name and one IMC per server. Or am I wrong????
I'm also looking for an answer!

first the mx record for the second domain needs to point to the exchange server (which it appears you have done)

if users are to have only one of the two smtp addresses, configure each user with the appropriate address. otherwise configure each existing user with the second smtp address (if necessary - either manually or via a directory export/import using a .csv file) NOTE: any new user will be assigned the smtp address that was used during the configuration. this will have to be modified for each user that needs the other address after the account is created.

you will also need to add the additional smtp domain as an allowed inbound domain (on the routing tab of the ims).

also, you will need to modify your relaying rules (you are a responsible smtp admin and you do have these configured correctly to prevent relaying, right??? Microsoft does a terrible job of documenting how to properly configure Exchange to prevent it from being used as a relay. There are 4 KB articles which are vague, and one very good Technet article.
