I am trying to implement DAG for my new Exchange 2010 environment.

Here is my environment details:\
Exchange 2003 - Windows 2003
Exchange 2003 - Windows 2000
Exchange 2010 Enterprise (Hub, CAS, Mailbox roles) -  Windows 2008 Entrprise
Exchange 2010 Standard (CAS role) - Windows 2008 Enterprise

I have not done anything with windows like adding clustering or anything like that.

So on my exchange 2010 enterprise, I am trying to setup DAG. I am having issues with creating a file witness server.
When I specify the FSW, it gives me an error stating that it is not an acceptable witness server name.

I have shared out a folder (full permissions to the everyone group) on a non exchange server. I have added that server to the Exchange domain group. I have added the exchange permission to the built-in administrators group. No Luck.

So I then thought I would put it on one of the exchange 2003 servers, but that did not work either.

The error is "not acceptable witness server name". What are you using as a witness server name? Is it valid?

This is what I use to create a DAG:

Creating your FSW:
Connect to "FSW_Server" and create a directory structure: D:\FSWDirectory
Add the "Exchange Trusted Subsystem" group to the local Admins group on your FSW_Server

Creating the DAG:
New-DatabaseAvailabilityGroup -Name 'DAGName' -WitnessServer 'FSW_Servername.domain.local' -WitnessDirectory 'D:\FSWDirectory'

cool. worked using the shell. It stated that the Microsoft Trusted Subsystem was not part of the local administrators group. Weird, b/c it is added.

Have any idea why DAG is not recognizing it?

That is by design:
From techent:
 
If the witness server you specify isn't an Exchange 2010 server, you must add the Exchange Trusted Subsystem USG to the local Administrators group on the witness server. If the witness server is a directory server, you must add the Exchange Trusted Subsystem USG to the Builtin\Administrators group. These security permissions are necessary to ensure that Exchange can create a directory and share on the witness server as needed
