This might sound a bit silly,

I am unble to find to workout on how to setup and mantain a disclamer for exchange 2003. if posible can someone please send me the procedure on how to do this.

I am running on a windows 2000 domain with Active Directory.

Take a look at MailEssentials from GFI, the disclaimer utility in the product are freeware.

That means it continues to run after the trial has expired.

Works very well.
