Setup /PrepareAD will also run the Setup /PrepareLegacyExchangePermissions and Setup /PrepareSchema so you will have to run the preparations on the root domain with the Enterprise and Schema Admin membership.  PrepareAD will also prepare the root domain so you will not be required to run the /PrepareDomain switch.  However, if you had child domains and you will be installing the Exchange Server on one of those, you will need to do the PrepareDomain switch or while at the root domain, you can do Setup /PrepareDomain "DomainName" where DomainName is the name of the domain you need to prepare.  You should have at least Windows 2003 SP1 on the domain controller that holds the Schema Master role.  To prepare the domain, you will need to be on the same Active Directory Site as the Domain Controller holding the Schema Master role.  You will also be required to have a minimum of Windows 2000 Native as your Domain Functional Level.

hi mate,

My suggestion:
> Check the DC and exchange server communication - like netdiag, dcdiag
> DNS is configured properly? try nslookup

Very important thing before you run this command, download exbpa tool from www.exbpa.com and then do a health check this will give you the clear cut what is the problem due to which it has been failed.

Once you follow the above step
> then rerun the command
> make a note of error message
> check the application log as well

hi mate,

Check the FSMO role on which server installed, Schema Master role should be on windows 2003 OS with sp1.

I don't know how did you installed schema master because schema master is the forest level role which will be in only one DC server by default your first server.

Have you run EXBPA, while running please select "Check Readiness for Exchange 2007" this will help you alot.

Check your domain controller communication - DCdiag and netdiag.
