I need to replace my my existing exchange server as it is under powered (P2/350 single system/data disk) New server xeon and raid

Need to minimise the downtime.

So would the best way be

Build Windows 2003 Server
Add to existing Active Directory
Install Exchange
Add connectors etc
User mailbox wizard to move mailboxes to new server
Test users can access server
Test email can be sent out
Retire old server
As the old server is slow an old I'm worried that trying to do too much work on it might tip it over the edge....major problem is old server as no backup

The only other problem/question is that the existing exchange server has a real IP address and I want the new server on a hidden address
Windows 2003 DNS is also on a real IP address

There is no such thing as a hidden IP address, you need to new IP address for new server, you can then migrate as normal, then turn off the old server and move the old IP address to your new server.

Ok Wrong term on IP addressing
What I was trying to say was External IP as being full accessable from the Internet and Hidden IP as No accessable directly from/by the Internet ie 192.168.x.x/10.x.x.x/172.x.x.x etc
