Anyone perform an upgrade to W2K8 from W2K3 with E2K7 installed? Is this possible or will I need to rebuild the server?
Aside from the Databases and transaction logs what else would I need to backup to make sure I keep all my settings?

There are no in place upgrade options.
Ideally you should swing migrate.

However do you have any compelling reason to upgrade the server?

I agree with Sembee.

What would be the reasons to upgrade to w2k8? I would not want to if I don't have to because you do not know what will break during or after the migration.

I can highly recommend you check out Scott Schnoll's white paper covering a migration from Exchange 2007 on Windows 2003 to Exchange 2007 SP1 on Windows 2008:
