Got a quick question I have the following config. I hace SBS2003 running in our domain as the PDC the machine that it is on is being replaced I want to know if I can do the following.

Install a windows 2003 std server join it to the domain as a controller install exchange on it and then move all the exchange and AD from the existing to the new machine, any sugestions, what should I be doing. . .

I would suggest that you go and ask this kind of question in one of the SBS newsgroups or forums. The Exchange aspect of this is minnute compared with getting the AD from one SBS box to somewhere else.
