Hi!

I've got a test system which runs Windows Server 2003 and Exchange Server 2003 SP1.

The server worked fine untill I installed Exchange Server 2003, now it will hang when I shut down the system.

I've reinstalled both Operating System and Exchange server, and got it to hang again, therefor I guess there is something with Exchange, because without Exchange the system works very well.

This is a well known problem if you run Exchange and the Domain Controller role on the same box, as a matter of fact an article about this issue was published here on MSExchange.org today:
