1. does i need to install new machine with domainprep & forestprep?
No... if it's the same Domain and you don't install all from zero

2. does i need to install new machine as a additinal exchange server?
Yes... the move Mailboxes... Conectors... etc etc

3. is new machine need to be ADC for to install ms exchange?
ADC ? Active Directory Conector ? It's only used in Exchange 5.5 for AD Sync

You have to remove that entries of previous exchange servers from active directory by using adsiedit.msc.

In ADSIEDIT.MSC, drill down to configuration container --> your organization name -> administrative groups --> your administrative group name --> servers and you should see the server you want to delete.

HOWEVER was this the first exchange server you installed in the forest?
