I am trying to install Exchange2003 on a Member Server. Should I run Forestprep or Domainprep or both. Please help.

You need to run Forestprep in the root of your forest, you then need to run domainprep in the root as well as in each child domain that will host an exchange server. You can only install exchange after you have updted the schemas with forestprep and domainprep.
