Do you have more than one domain in the forest? If you don't, then don't bother with prep, the setup process will do it for you. Separate Prep is only really required when you have multiple domains to worry about. The error message you are seeing is usually caused by something failing to run correctly. Make sure that you are using either a local copy of the Exchange setup files, from a CD or a MAPPED network drive, not just \\server\share

If it is 1 DC, then just run the setup GUI. Don't bother with anything else. Exchange 2007 setup will do all the prep for you. Simon.

System Attendant is the interface between Exchange and the domain. If it is failing to start then the server is having problems talking to the domain controller. You need to look at the domain controller communication using DCDIAG and NETDIAG to ensure that the machine can communicate with the domain controller correctly. Simon.
