Hi there!
There is a cmdlet to create a management role - New-ManagementRole.
As specified in help and in this TechNet article: http://technet.microsoft.com/en-us/library/dd298073.aspx - when i need to create an unscoped and empty management role - i should use an UnScopedTopLevel switch.

but my ExchangePS can't recognize argument -UnScopedTopLevel - i get the following message:
a positional parameter cannot be found that accepts argument '-UnscopedTopLevel'
I have a full AD and Exchange permissions in my test environment

Can any one help with this problem?

I have found the answer.
New-ManagementRoleAssignment -SecurityGroup “GroupName” –Role “Unscoped Role Management”

by default exchange administrator account dont have this permission
