Upgrade from Exchange2007 to Exchange2010 (Full Version)

We are now planning to upgrade our existing MS Exchange Setup from Exchange 2007 SP3 to Exchange 2010. The existing setup is as follows:

AD Server: Windows 2003 Standard Edition 64-bit
Exchange Server: Operating System Windows2008 Standard Edition
Exchange Server Version: MS Exchange 2007 SP3.

I made a discussion with several Vendors for this upgrade and everyone has recommended that this upgrade must be done in the following way:

1. Upgrade AD to windows 2008 R2 or Windows2012 R2 (This will require new Server Hardware)
2. The Exchange Server 2010 will be installed on the seperate hardware and thus initially both 2007 and 2010 run in parallel for some time unless or until all users will be migrated to 2010.

Now I have following queries related to these recommendations:

1. I have checked the compatibility matrix related to AD and somehow figured out that 2003 AD is supported with Exchange2010. Thus do i really need to upgrade the OS of the AD Server?
2. Is this possible to Upgrade the Exchange Server 2010 directly on Exchange2007? The problem is I dont have any spare server and we cannot purchase new Server at this moment. There is SSL certificate which will also requires migration as well as there is Antivirus for MSExchange which will than also requires migration.

Can you please suggest what path should I follow for this upgrade.

ad 1) No. But since Windows Server 2003 is way out of support, it's a good idea to go to at least Windows Server 2008 R2
ad 2) In-place upgrade from Exchange 2007 to Exchange 2010 is not possible. You will need to build a new box with Exchange Server 2010

Your certificate can be re-used in the Exchange 2010 environment.
