Does anyone see any problems with installing an exchange 2k server for IM only purposes into a brand new exchange 2k3 domain?

Yes its possible to use IM with Exchange 2000 in a Windows 2003 domain.
Exchange 2003 does not support IM like Exchange 2000 btw, you need to use a different solution eg Live Comms Server.
